The board of Penske Automotive Group (NYSE: PAG) has unveiled a definitive agreement that will take the company off public markets. Under the deal, a newly formed vehicle called Motown Acquisition Corp owned jointly by Penske Corporation and Mitsui & Co., Ltd. will purchase the outstanding shares of PAG for a cash price of $212 per share. This transaction values the enterprise at roughly $16.3 billion, creating a privately held entity split 64% to Penske and 36% to Mitsui.
Deal structure and valuation
The acquisition is structured as a cash-out merger. All shareholders who are not part of the Penske or Mitsui consortium will receive a uniform payment of $212 per share, translating into an enterprise value of about $16.3 billion. The price represents a modest uplift over recent market levels, offering an premium that reflects the strategic benefit of consolidating ownership under two long-term partners. Penske brings deep operational expertise across North America, while Mitsui contributes a quarter-century of investment and global network support. Together they aim to leverage PAG’s existing dealership footprint in the United States, United Kingdom, Canada, Germany, Italy, Japan and Australia to drive next-generation growth.
Shareholder premium and dividend policy
According to the merger terms, the $212 per share price delivers an 8.6% premium to the closing price on July 21 2026, and a 20.09% and 26.17% premium relative to the 60-day and 90-day volume-weighted average prices, respectively. An additional 8.84% premium is measured against the close on October 14 2026, the last trading day before the definitive agreement was announced. The board also committed to continue distributing quarterly cash dividends through the closing, capping each payment at $0.02 per share above the most recent quarterly dividend. A pro-rated dividend will be paid for any partial quarter that occurs before the transaction is finalized.
Approval process and timeline
A special committee of independent directors was convened to evaluate the unsolicited proposal. After thorough review with outside legal and financial counsel, the committee unanimously recommended that the board approve the transaction. The board subsequently adopted the recommendation, setting the stage for shareholder voting. The merger is slated to close in the first quarter of 2027, pending customary closing conditions, regulatory clearances, and approval by a majority of voting shareholders—including unaffiliated holders as defined in the merger agreement. No financing contingency is attached to the deal, indicating confidence in the buyers’ balance sheet strength.
Upon completion, PAG’s common stock will be delisted from the New York Stock Exchange, and the company will operate as a privately held entity. The third-quarter 2026 earnings release, scheduled for October 28 2026, will be posted on the investor-relations portal without a live conference call, reflecting the transitional nature of the announcement. Legal and financial advisors involved include Moelis & Company, Paul, Weiss, Freshfields, Jones Day, BofA Securities, J.P. Morgan Securities, Wells Fargo Securities and Debevoise & Plimpton, underscoring the complexity of the transaction.
